These Terms of Service (“Terms”) govern the use of Studio Digital’s software platform, CRM, automation systems, messaging infrastructure, and related marketing services (collectively, the “Services”).
The Services are provided exclusively to Studio Digital clients under a commercial agreement. They are not offered to the general public. By using the Services, you (“Client”) agree to these Terms.
Services provided.
Studio Digital provides digital marketing services, CRM software access, automation workflows, messaging systems, reporting dashboards, integrations, and consulting services. Services may be modified, updated, or discontinued at any time.
Client access.
Access is granted only to approved clients. You are responsible for:
- Maintaining the confidentiality of login credentials
- All activity performed under your account
- Ensuring your staff comply with these Terms
Acceptable use.
You may not use the Services to:
- Send spam or unsolicited communications
- Violate laws or regulations
- Transmit malware or harmful code
- Harass, deceive, or defraud any person
- Collect or use personal data without lawful consent
Studio Digital may suspend access for violations.
Messaging and SMS compliance.
If you use SMS, MMS, or messaging features through the Services:
- Consent: you must obtain clear, documented opt-in consent before sending messages.
- Opt-out: all messages must contain opt-out instructions (for example, “Reply STOP to unsubscribe”).
- Identification: messages must clearly identify your business.
You may not send phishing or scam messages, misleading promotions, adult content, hate or violent content, or messages promoting illegal products or services.
You are solely responsible for compliance with the Twilio Messaging Policy, carrier rules, A2P 10DLC requirements, and TCPA, CTIA, and applicable privacy laws. Studio Digital may suspend or terminate messaging access if violations occur.
Meta platform compliance.
If you connect Facebook, Instagram, WhatsApp, or other Meta services: you must comply with Meta Platform and Developer Policies, you may not misuse Meta data, and you may not attempt to bypass Meta safeguards. Studio Digital is not responsible for Meta account restrictions or suspensions.
Data and privacy.
You own your customer data. You grant Studio Digital permission to process data solely to deliver the Services. We implement reasonable security measures but cannot guarantee absolute security.
Fees and billing.
Fees are governed by your service agreement or invoice. Payments are non-refundable unless stated otherwise in writing. Non-payment may result in suspension.
Intellectual property.
All software, systems, workflows, and documentation remain the property of Studio Digital. You receive a limited, non-exclusive, non-transferable license to use the Services during your engagement.
Third-party services.
The Services integrate with third-party platforms such as Twilio, Meta, Stripe, and Google. Studio Digital is not responsible for third-party outages or policy changes.
Disclaimer.
Services are provided “as is” and “as available” without warranties.
Limitation of liability.
Studio Digital is not liable for indirect or consequential damages. Total liability is limited to fees paid in the prior three months.
Indemnification.
You agree to indemnify Studio Digital from claims arising from your campaigns, your data, or your violations of law or policy.
Termination.
Either party may terminate in accordance with the commercial agreement. Upon termination, access ceases and outstanding balances remain payable.
Governing law.
These Terms are governed by the laws of Western Australia, Australia.
Changes.
These Terms may be updated periodically. The date at the top of this page reflects the latest revision.
